Additional work may require:

  • Additional fees;
  • Revised timelines;

  • A written change order, revised SOW or other written approval.

Blivora Tech is not obligated to perform additional work outside the agreed scope unless the parties have agreed to the change and any applicable additional charges.

The customer is responsible for applicable taxes and charges imposed on the purchase of Services, except taxes imposed on Blivora Tech’s income.

Where withholding tax is legally required, the customer should provide appropriate documentation confirming the withholding and payment to the relevant authority.

10. Intellectual Property

10.1 Blivora Tech Property

Unless otherwise agreed in writing, Blivora Tech retains all rights, title and interest in:

  • Pre-existing software;
  • Proprietary frameworks;
  • Libraries;

Nothing in these Terms transfers ownership of Blivora Tech’s pre-existing intellectual property to a client.

10.2 Client Materials

The client retains ownership of materials, data, trademarks, content, documents, software and other intellectual property supplied by the client.

The client grants Blivora Tech a limited right to use such materials solely to the extent necessary to provide the contracted Services.

10.3 Project Deliverables

Ownership or licensing of project-specific deliverables will be determined by the applicable proposal, SOW or service agreement.

Unless otherwise expressly agreed in writing, payment for Services does not automatically transfer ownership of Blivora Tech’s underlying tools, frameworks, reusable components or pre-existing intellectual property.

11. Third-Party Software and Services

Our Services may integrate with or depend upon third-party software, platforms, APIs, hosting providers, cloud services or other technologies.

Examples may include:

Where a third-party subscription is required for a project, the client may be responsible for maintaining the relevant subscription and paying applicable third-party fees.

12. ERPNext and Open-Source Software

Where our Services involve ERPNext or other open-source software, the relevant software may be subject to its own open-source license and applicable terms.

Blivora Tech’s professional services, implementation, customization, configuration, development and support are separate from the underlying open-source software unless otherwise expressly agreed.

Open-source components may be subject to licenses that grant rights directly to users or impose specific obligations.

Clients are responsible for complying with applicable open-source license requirements relating to their use of such software.

13. Confidentiality

Each party may receive confidential or proprietary information from the other party during a business relationship.

Each party agrees to use reasonable measures to protect confidential information and not disclose it to unauthorized third parties except:

  • With the other party’s permission;
  • To employees, contractors or professional advisers who need the information and are subject to confidentiality obligations;
  • Where required by law or legal process; or
  • Where otherwise permitted under an applicable agreement.

Confidentiality obligations do not generally apply to information that:

  • Is publicly available without breach of an obligation;
  • Was lawfully known before disclosure;
  • Is independently developed without use of confidential information; or
  • Is lawfully received from another source without confidentiality restrictions.

Where a separate Non-Disclosure Agreement (“NDA”) exists, the NDA will govern confidentiality obligations to the extent applicable.

14. Data Protection and Privacy

Blivora Tech may collect and process personal information in connection with the Website and Services.

Our processing of personal information is described in our Privacy Policy.

If Blivora Tech processes personal information on behalf of a client as part of providing Services, the parties may enter into a separate Data Processing Agreement or similar arrangement where required.

Clients are responsible for ensuring that they have the necessary rights, notices, permissions and lawful basis to provide personal information to Blivora Tech for processing.

15. Website Content

  • The Website will always be available; or
  • The Website will be free from technical defects or harmful components.

We reserve the right to update, modify, remove or discontinue Website content at any time.

16. No Professional or Legal Advice

Except as expressly stated in a written agreement, Blivora Tech disclaims warranties, representations and conditions, whether express, implied or statutory, including warranties of:

  • Merchantability;
  • Fitness for a particular purpose;
  • Non-infringement;
  • Availability;
  • Accuracy;
  • Reliability; and
  • Suitability for a particular purpose.

Nothing in these Terms excludes a warranty or consumer protection right that cannot lawfully be excluded under applicable law.

For paid Services, any specific warranties will be governed by the applicable service agreement, SOW or order documentation.

19. Limitation of Liability

To the maximum extent permitted by applicable law, Blivora Tech and its directors, officers, employees, contractors, affiliates and service providers will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages arising out of or relating to the Website or Services, including loss of:

  • Profits;
  • Revenue;
  • Business opportunities;
  • Data;
  • Goodwill;
  • Business interruption; or
  • Anticipated savings.

Except where prohibited by applicable law, Blivora Tech’s aggregate liability arising from a particular Service engagement will not exceed the fees actually paid by the client to Blivora Tech for the specific Services giving rise to the claim during the six (6) months preceding the event giving rise to the claim.

The limitation above will not apply to liability that cannot legally be limited or excluded under applicable law.

Where a separate written agreement contains a different limitation of liability, that agreement will govern the relevant engagement.

20. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify and hold harmless Blivora Tech and its officers, directors, employees, contractors and affiliates from claims, liabilities, damages, losses, costs and expenses arising from:

This provision does not apply to the extent that the relevant claim results from Blivora Tech’s own gross negligence, willful misconduct or other conduct for which indemnification cannot legally be required.

21. User-Submitted Information

If you submit information, comments, feedback, enquiries, suggestions or other content through our Website, you represent that:

  • The information is accurate to the best of your knowledge;
  • You have the right to submit it;
  • It does not violate applicable law; and
  • It does not infringe another person’s rights.

You remain responsible for the content and information you submit.

By providing feedback or suggestions about our Website or Services, you grant Blivora Tech permission to use such feedback for business and product-improvement purposes without an obligation to compensate you, unless otherwise agreed in writing.

22. Links to Third-Party Websites

Our Website may contain links to websites or services operated by third parties.

  • Third-party terms; or
  • Third-party products or services.

Accessing third-party websites is at your own risk.

Such circumstances may include:

We will make reasonable efforts to minimize the impact of such events.

25. Governing Law

These Terms will be governed by and interpreted in accordance with the laws of the State of North Carolina, United States, without regard to its conflict-of-law principles, unless applicable law requires otherwise.

Any dispute arising out of or relating to these Terms or the Website will be subject to the applicable courts located in North Carolina, unless the parties have agreed otherwise in a separate written agreement.

For client engagements, the applicable service agreement may specify a different governing law or dispute-resolution mechanism.

Nothing in this section limits rights that cannot legally be waived under applicable law.

26. Dispute Resolution

Before initiating formal legal proceedings, the parties are encouraged to attempt to resolve disputes through good-faith communication.

If a dispute cannot be resolved informally, the parties may pursue the remedies available under applicable law and any dispute-resolution provisions contained in the applicable service agreement.

Where a written agreement between Blivora Tech and a client contains arbitration, mediation or another dispute-resolution mechanism, that provision will govern the relevant dispute.

27. Severability

If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision will be modified or limited to the minimum extent necessary to make it enforceable.

The remaining provisions will continue in full force and effect.

28. Waiver

Failure by Blivora Tech to enforce any provision of these Terms does not constitute a waiver of our right to enforce that provision in the future.

Any waiver must be made expressly and in writing.

29. Entire Agreement

These Terms, together with our Privacy Policy and any applicable service agreements, proposals, SOWs, order forms or other written agreements, constitute the agreement governing your use of the Website and applicable Services.

Where there is a conflict between these general Website Terms and a specific written agreement for Services, the specific written agreement will control with respect to that Service engagement.
